Terms of Service.

By accessing or using the Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.

• Customer — the legal entity that contracts with NXHub for a Prime tenant or other paid Services.
• User — any natural person authorized to use the Services through a Customer or as an individual.
• Tenant — an isolated logical environment provisioned for a Customer.
• Customer Content — data, files, documents, and inputs uploaded or generated within a Tenant.
• Order Form — the commercial document specifying plan, fees, term, and tenant scope.

NXHub provides cloud-based software for vertical real estate operations: documentation, payments, compliance, communications, and RIO AI orchestration across role-aware surfaces. Features may evolve; we may release, modify, or deprecate functionality with reasonable notice for material changes affecting paying Customers.

• You must be at least 18 (or the age of majority in your jurisdiction) to create an account.
• You are responsible for maintaining the confidentiality of credentials and for activity under your account.
• Notify us immediately at the contact email below of any unauthorized access.
• We may refuse, suspend, or terminate accounts that violate these Terms or applicable law.

Customer retains all rights to Customer Content. Customer grants NXHub a limited, worldwide, royalty-free license to host, process, transmit, display, and back up Customer Content solely to provide and improve the Services on Customer's behalf.

Customer represents and warrants that it has all rights and consents necessary to upload and process Customer Content in NXHub, including any personal data of residents, vendors, or visitors handled within a Tenant.

You agree not to, and not to permit any User to:

• Reverse engineer, decompile, or attempt to derive source code, except as expressly permitted by law.
• Bypass tenant isolation, rate limits, or security controls.
• Use the Services to send spam, malware, or unlawful content, or to infringe third-party rights.
• Resell, sublicense, or white-label the Services without a written agreement.
• Use RIO AI outputs to develop a competing product or to train competing models.

Fees, billing cadence, currency, and term are defined in the applicable Order Form or in-product pricing. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and payable in advance. Late amounts may accrue interest at the lesser of 1.5% per month or the maximum permitted by law.

Payments may be processed through Yappy, ACH, Stripe, Paddle, or other rails. Customer is responsible for all applicable taxes (including Panamá ITBMS and equivalent VAT/sales taxes) other than taxes on NXHub's net income.

NXHub and its licensors retain all right, title, and interest in and to the Services, including all software, models, designs, trademarks ("NXHub", "Prime", "RIO", "Shield", "Pay", and related marks), and documentation. No rights are granted by implication or estoppel. Customer feedback may be used by NXHub without restriction or attribution.

The Services may integrate with third-party providers (authentication, payments, communications, identity, AI model providers). Your use of third-party services is governed by their own terms and privacy policies; NXHub is not responsible for their availability, accuracy, or actions.

RIO AI generates responses, drafts, and recommendations using a combination of NXHub models and vetted third-party providers. Outputs may be inaccurate, incomplete, or unsuitable for a given purpose. You are responsible for reviewing outputs before relying on them for legal, financial, safety, or compliance decisions. RIO never returns underlying database schemas, source code, or table structures, and customer content is not used to train foundation models without explicit written consent.

Each party will protect the other's Confidential Information using at least the same care it uses for its own (and no less than reasonable care), and will use it only to perform under these Terms. Confidentiality obligations survive termination for three (3) years, or perpetually for trade secrets.

NXHub warrants that the Services will perform materially in accordance with the applicable documentation. EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. NXHUB'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER TO NXHUB FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Customer will defend, indemnify, and hold harmless NXHub from third-party claims arising from (a) Customer Content, (b) Customer's violation of these Terms or applicable law, or (c) Customer's use of the Services beyond the scope authorized. NXHub will defend Customer against third-party claims that the Services, as provided and used as permitted, infringe a valid intellectual property right.

These Terms remain in effect while you use the Services. We may suspend or terminate access immediately if you (a) materially breach these Terms and do not cure within 15 days of notice, (b) become insolvent, or (c) engage in activity that creates legal or security risk for NXHub or other users.

On termination, your right to use the Services ceases. We will make Customer Content available for export for 30 days, after which we may delete it in the ordinary course.

These Terms are governed by the laws of the Republic of Panamá, without regard to conflict-of-laws principles. The courts of Panama City, Republic of Panamá, will have exclusive jurisdiction over any dispute arising from or relating to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

We may update these Terms from time to time. Material changes will be highlighted on this page and, where appropriate, notified by email or in-product notice. Continued use of the Services after the Effective date constitutes acceptance of the updated Terms.

• Entire agreement: these Terms, the Order Form, and any referenced policies are the entire agreement and supersede prior agreements on the same subject.
• Assignment: you may not assign without our consent; we may assign to an affiliate or successor.
• Force majeure: neither party is liable for delays caused by events beyond reasonable control.
• Severability: if any provision is unenforceable, the rest remains in effect.
• No waiver: failure to enforce any right is not a waiver.
